Terms of Service

These Terms govern your use of Validated Strategies (the "Service"), operated by WadPop Inc., dba Validated ("we", "us"). By accessing or using the Service, you agree to these Terms, theDisclaimer, the Risk Disclosureand the Privacy Policy. If you do not agree, do not use the Service.

1. Nature of the Service

The Service provides general research, educational content and reference implementations of trading strategies, plus an intake path for proposed validation work. It is not investment advice and we are not a CTA, RIA or broker-dealer (see the Disclaimer). Any paid engagement or product is limited to general research or reference implementations, not a trading-signals or advisory service.

2. Customer representations

By using the Service or purchasing, you represent and warrant that you:

• are at least 18 and legally able to enter this agreement;
• understand that trading involves substantial risk of loss and that all performance shown is hypothetical;
• have read and accepted the Risk Disclosure;
• are making your own independent decisions and are solely responsible for any trading you undertake;
• are a sophisticated, professional or otherwise risk-aware market participant acting on your own behalf.

3. Submissions and licenses

You keep ownership of a strategy specification you submit. You grant us permission to store, review, test, and use it to provide the requested validation service. We will not publish private identifying information with a result. If we provide downloadable code or other licensed material, the license terms shown at delivery control; unless stated otherwise, it is for individual use and may not be resold, redistributed, sublicensed, or publicly shared. We retain our intellectual-property rights.

4. No warranty

THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT ANY STRATEGY WILL BE PROFITABLE OR ERROR-FREE. WE DO NOT WARRANT ANY TRADING RESULT.

5. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY TRADING LOSSES OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER. You acknowledge that we would not provide the Service without this limitation.

6. Indemnification

You agree to indemnify and hold harmless WadPop Inc. (Validated Strategies), its members, officers and affiliates from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from your use of the Service, your trading decisions, or your breach of these Terms.

7. Fees and refunds

The public catalog and public data API are free. Validation intake does not create a charge or promise that a backtest will be performed. If we offer paid work or products, the scope, price, delivery terms, cancellation terms, and any refund policy will be presented before payment. Statutory rights that cannot be waived are unaffected.

8. Arbitration; waivers

Any dispute arising out of or relating to these Terms or the Service will be resolved bybinding individual arbitration, not in court. You and we waive the right to a jury trial. You and we waive any right to participate in a class actionor class-wide arbitration; disputes will be arbitrated only on an individual basis. This section survives termination.

9. Changes & termination

We may modify these Terms or the Service. Material changes will be reflected in the updated date above, and continued use after the change takes effect constitutes acceptance. We may suspend or terminate access for breach. Sections 3–8 survive termination.
